Job Description


Agona Rural Bank LTD invites applications from suitable individuals for the position of a Company / Board Secretary.

Duties

• Assisting the Board of Directors to comply with the constitution of the bank and with relevant enactment
• Keeping the books and records of the Bank
• Ensuring that the minutes of the meetings of shareholders and the directors are properly recorded as required by Act 992
• Preparing and issuing out notices in the name of the bank
• Ensuring that the annual financial statements of the bank are dispatched to every person entitled to the statements as required by Act 992
• Ensuring that all statutory forms and returns are duly filed with the Registrar
• Providing the board with guidance as the the duties, responsibilities and powers of the board on the changes and development in the laws affecting the operations of the bank
• Informing the board of legislation relevant to or affecting meetings of shareholders and directors and their failure to comply the legislation and reporting accordingly at any meeting and
• Advising the directors on their responsibilities as directors

Qualification Required & Experience

• Degree in Law or equivalent qualification
• A person who has been a company secretary trainee for at least 3 years
• A member in good standing of the institute of Chartered Secretaries and Administrators
• A member in good standing of the institute of Chartered Accountants, Ghana
• A barrister or solicitor in good standing who has been enrolled to practice in Ghana
• A good academic qualification or a member in good standing of any professional body capable of performing the duties of a secretary
