Liaise with relevant departments to ensure that where compliance/legal risks

have been identified, appropriate courses of action have been taken.

a)Provide legal and risk management advice to management with particular

emphasis on compliance.

b)Advise HR Manager on policy issues related to the interpretation and

application of Ghana laws, regulations, rules, in particular, the Labour Act of

Ghana (Law 651) (the “Labor Act”).

c)Keep management up to date on significant changes and additions to local

laws and provide information and training to MODEC and disseminate

appropriate legal requirements to staff.

d)Review and advise management on local law implications of MODEC internal

policies and procedures.

 

2.MODEC Compliance Program

a)Develops, initiates, maintains, and revises local MODEC policies and

procedures for the general operation of the MODEC Compliance Program and

its related activities to prevent illegal, unethical, or improper conduct.

b)Develops and periodically reviews and updates such policies and procedures

to ensure continuing currency and relevance in providing guidance to

management and employees.

c)Collaborates with other departments (e.g., HSEQ, Human Resources,

Accounting, etc.) to direct compliance issues to appropriate existing channels

for investigation and resolution.

d)Responds to alleged violations of compliance law, rules, and regulations,

violations of MODEC Group Anti-Corruption Compliance Policies (“ACC

Policies”) and the Code of Conduct as well as to cases involving MODEC

reported through the MODEC Ethics Hotline (the “Hotline”) by evaluating and,

as necessary, recommending the initiation of investigative procedures.

Develops and oversees a system for uniform handling of such violations.

e)Acts as an independent reviewer and evaluator to ensure that compliance

Issues/concerns within the organization are being appropriately evaluated,

investigated and resolved.

f)Identifies potential areas of compliance vulnerability and risk;

develops/implements corrective action plans for resolution of problematic

issues, and provides general guidance on how to avoid or deal with similar

situations in the future.

g)Ensures proper reporting of violations or potential violations to duly authorized

enforcement agencies as appropriate and/or required.

h)Institutes and maintains an effective compliance communication program for

the organization, including promoting (a) use of the Hotline; (b) heightened

awareness of the Code of Conduct and ACC Policies, and (c) understanding

of new and existing compliance issues and related policies and procedures.

i)Works with the Human Resources Department and others as appropriate to

develop an effective compliance training program, including appropriate

introductory training for new employees as well as ongoing training for all

employees and managers.

j)Monitors the performance of the MODEC Compliance Program and conducts

activities on a continuing basis, taking appropriate steps to improve its

effectiveness.

 

3.Human Resources

a)Provide advice to management and HR personnel on the interpretation and

application of local laws and regulations concerning HR and related issues.

b)Assess the adequacy of existing MODEC HR policies, identify issues that

require change, propose modifications and draft related policy papers, reports

and opinions, taking into account best practice of the Labour Act

c)Drafting and reviewing commercial agreements and advise the HR Manager

in contract administration

d)Review progress of outstanding litigation/arbitration affecting MODEC, liaise

with and manage external lawyers.

4. Legal Duties

 

  1. a) Responsible for review of invoices & quality of service of MODEC’s external in adherence with MODEC’s Outside Counsel Policy.
  2. b) Responsible for managing MODEC’s external counsel in accordance with MODEC’s Outside Counsel Policy.
  3. c) Drafting and reviewing commercial agreements, specifically in regard to provisions concerning compliance, HSEQ and Ghana law matters.

d)Review and draft contracts, agreements and internal policies and ensure that they are in compliance with all statutory or legal requirements.

5. Media Surveillance Duties

Media Surveillance & Reporting to In-Country Management for pass-on to MODEC Corporate Senior Executives, as deemed fit.

Qualification

 applicant must hold a law degree or equivalent

 Be eligible for admission as a Barrister-at-Law

 Experience in discerning and assessing political, social and cultural factors that

have the potential to affect the company and provide counsel as required
